Terms of Use - Prosperr.io Benefits

Introduction

Prosperr.io Private Limited ("Prosperr.io," "we," "us," and terms of similar meaning) provides the Prosperr.io Benefits mobile application ("App") to you subject to these terms and conditions of use (these "Terms"). By accessing or using the App or by merely browsing the App, you agree to be legally bound by these Terms and all terms, policies, and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use the App. The term "you" refers to the user or viewer of our App.

App Usage

1. The Prosperr.io Benefits App is designed to help employees claim Flexible Benefits Plan (FBP) reimbursement allowances through their employer, as per the contract agreement between the employer and Prosperr.io Private Limited.
2. You must have an invitation and authorization from your employer to use the App services.

Claiming Benefits

1. You can claim FBP reimbursement allowances by submitting valid invoices and proof of transactions through the App.
2. Prosperr.io reserves the right to verify the authenticity of submitted claims and may request additional information or documents for verification purposes.

Privacy and Data Protection

1. Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and protect your personal data.
2. By using the App, you consent to the collection, processing, and storage of your data as described in our Privacy Policy.

Sign-up

If you sign-up for an account on the App, you agree to:

1. Provide accurate, current, and complete information as per the sign-up & onboarding flow of the App ("Registration Data").
2. Maintain the security of your sign-up/login OTP.
3. Maintain and promptly update the Data and any other information you provide to Prosperr.io and keep it accurate, current, and complete.
4. Accept all risks of unauthorized access to the Data and any other information you provide to us. You are responsible for all activity on your Prosperr.io account.

Copyright

1. The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to the App are protected under applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use, or publication by you of any such matters or any part of the App, except as allowed in this agreement, is strictly prohibited.

Service Marks

1. Prosperr.io Benefits, Prosperr.io, and other product and company names mentioned in the App may be trademarks of their respective owners

Limited License; Permitted Uses

You are granted a non-exclusive, non-transferable, revocable license:

1. To access and use the App strictly in accordance with this Agreement.
2. To use the App solely for internal, personal, non-commercial purposes.
3. To get out discrete information from the App solely for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein.

Restrictions and Prohibitions on Use

Your license for access and use of the App and any information, materials, or documents (collectively defined as "Content and Materials") therein are subject to the following restrictions and prohibitions on use:

You may not:

1. Copy, print (except for the express limited purpose mentioned in this agreement), republish, display, distribute, transmit, sell, rent, lease, loan, or otherwise make available in any form or by any means all or any portion of the App or any Content and Materials retrieved therefrom.
2. Use the App or any materials obtained from the App to develop or as a component of any information, storage and retrieval system, database, information base, or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind, including through sale, license, lease, rental, subscription, or any other commercial distribution mechanism.
3. Create compilations or derivative works of any Content and Materials from the App.
4. Use any Content and Materials from the App in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of us or any third parties
5. Remove, change, or obscure any copyright notice or other proprietary notice or terms of use contained in the App.

Linking to the App

You may provide links to the App, provided:

1. That you do not remove or obscure, by framing or otherwise, advertisements, the copyright notice, or other notices on the App.
2. Your site does not engage in illegal or inappropriate activities.
3. You discontinue providing links to the App immediately upon request by us.

Errors, Corrections, and Changes

1. We do not represent or warrant that the App will be error-free. We may make changes to the features or content of the App at any time without notice

Indemnification

1. You agree to indemnify and hold Prosperr.io harmless from any liability, loss, claim, or expense, including reasonable attorney's fees, related to your use of the App or violation of these Terms.

Disclaimer

1. The information and services provided through the App are provided "as-is," and we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose. We are not liable for any indirect, special, or consequential damages arising from your use of the App.

Limitation of Liability

1. Our aggregate liability for any claim arising from your use of the App shall not exceed the amount paid by you, if any, for using the App.

Governing Law

1. This Agreement and the rights and obligations thereunder and the relations of the parties and all matters arising under or in connection with this Terms of Use, including the construction, validity, performance or termination thereunder, shall be governed by and construed in accordance with the laws of the Republic of India. Subject to and without prejudice to the amicable settlement, the courts in Bengaluru, Karnataka shall have exclusive jurisdiction to try and adjudicate all matters arising in connection with your use of the Prosperr.io services
2. Disputes or differences or concerns if any should be raised within 30 days of happening or non-happening of an event related to Prosperr.io services.

Miscellaneous

1. Prosperr.io shall not be held responsible for any non-responsiveness, delay, failure of systems, or any other circumstances that might not be in our control.

Prosperr.io reserves the right to change or modify the Terms at any time and without notice. Users can determine when the Terms were last modified by referring to the “Last Updated” legend above. However, Prosperr.io shall not undertake to update users with the content contained herein from time to time. Users are obliged to exercise their independent diligence on the same before arriving at any decision, and they will be solely responsible for their actions. Prosperr.io shall not be held responsible for any actions that may subsequently result in any loss, damage, and/or liability on account of such changes in the information in the Terms. Users' continuous use of Prosperr.io following the posting of changes shall mean that they accept and agree to the changes and the Terms and Conditions and shall be legally bound by the same.
